1. Acceptance of Terms

By accessing or using the Aptus Grow platform and website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, and customers of Aptus Grow.

2. Description of Service

Aptus Grow provides marketing software and tools designed for call center and answering service businesses, including website building, call tracking, analytics, and related services ("Platform"). Specific product offerings are described on our product pages.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Accounts and Registration

To access certain features of the Platform, you must create an account. You agree to:

  • Provide accurate and complete information during registration
  • Keep your account credentials confidential
  • Notify us immediately of any unauthorized use of your account
  • Be responsible for all activity that occurs under your account

You must be at least 18 years old to create an account and use the Service.

4. Payment and Billing

Paid subscriptions are billed in advance on a monthly or annual basis. All payments are processed securely by Stripe, Inc. By subscribing, you authorize Aptus Grow to charge your payment method through Stripe for all applicable fees.

  • Refunds: subscription fees are non-refundable except where required by applicable law or at our sole discretion.
  • Cancellation: you may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • Price changes: we will provide at least 30 days' notice before changing subscription prices. Continued use after the effective date constitutes acceptance of the new pricing.
  • Failed payments: if a payment fails, we may suspend access to your account until payment is resolved.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Transmit spam, malware, or other harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Engage in any activity that interferes with or disrupts the Service
  • Reverse engineer, decompile, or disassemble any part of the Service

We reserve the right to suspend or terminate accounts that violate these restrictions.

6. Intellectual Property

The Service, including all software, content, logos, and trademarks, is owned by Aptus Grow and protected by applicable intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or brand elements without our prior written consent.

You retain ownership of any content you upload or create through the Service. By uploading content, you grant Aptus Grow a limited, non-exclusive license to use that content solely to provide the Service.

7. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference.

8. Third-Party Services

The Service integrates with third-party providers including Stripe (payments), Google Analytics (analytics), and Resend (email). Your use of these integrations is subject to the respective third parties' terms of service and privacy policies. We are not responsible for the practices or content of third-party services.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APTUS GROW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Aptus Grow and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property disputes.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date above and, where appropriate, by sending an email notification. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

14. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your account immediately if you violate these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including payment obligations, intellectual property, disclaimers, and limitation of liability) will remain in effect.
